Terms of Use

These Terms of Use ("Terms") govern your access to and use of spaceferret.vn and its content (the "Site"). The Site is operated by CÔNG TY TNHH SPACEFERRET / SPACEFERRET COMPANY LIMITED ("Spaceferret", "we", "us", "our").

By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

If you use the Site on behalf of an organisation, you confirm you have authority to bind that organisation to these Terms, and "you" means both you and that organisation.

2. What the Site is, and what it is not

The Site is an information directory of event venues and event spaces in Ho Chi Minh City. It publishes descriptive information about venues and spaces so that you can compare them and decide which ones are worth pursuing.

The Site does not:

• take bookings, reservations, or holds of any kind;
• show or represent venue availability;
• publish venue prices, quote prices, or process any payment;
• allow venues to create, edit, or manage their own listings;
• act as agent, broker, or representative of any venue;
• form any contract between you and a venue, or between us and a venue on your behalf.

Nothing on the Site is an offer capable of acceptance, a reservation, or a guarantee that any space is available, suitable, or obtainable on any terms.

If you decide to engage a venue, you do so directly and on terms agreed between you and that venue. We are not a party to that arrangement and we are not responsible for it.

3. We are an interested party

Spaceferret also operates as an event planning and production company. We sell those services to the same organisations that read this directory.

You should read the Site with that in mind:

• We do not publish venue telephone numbers, email addresses, websites, social accounts, or other direct venue contact routes. The enquiry route on the Site goes to us.
• We may benefit commercially if you engage us for planning or production work following an enquiry.
• The Site covers a selected set of venues in Ho Chi Minh City. It is not a complete or exhaustive index of the market, and the absence of a venue from the Site says nothing about that venue.

We think a directory is more useful when it says this plainly than when it implies a neutrality it does not have.

4. Listing information and accuracy

Where the information comes from. Venue and space information on the Site is researched and compiled by us from publicly available sources and from our own records. It is not supplied, warranted, or approved by the venues themselves unless a listing says so.

What we do. We record the source and the verification date for the facts we publish, and we mark information as unknown or disputed where our sources conflict rather than presenting a guess as a fact.

What we do not do. We do not warrant that any listing is accurate, current, or complete. Venues change their spaces, capacities, layouts, amenities, and operating status without telling us. Capacity figures depend on layout, event format, and the venue's own operational and safety decisions on the day. Treat everything on the Site as a starting point for your own checks, not as a substitute for them.

Corrections. If you believe something on the Site is wrong, tell us at josselin.ferruzza@arcltd.net. We aim to acknowledge within 2 working days and to correct or remove the listed fact, where the correction is substantiated, within 5 working days.

5. Images, and how to have yours removed

Images on the Site are published to help users understand a space. Some are published without prior permission from the rights holder.

If you hold rights in an image on this Site, or you represent a venue shown on this Site, and you want it removed, tell us at josselin.ferruzza@arcltd.net. Include the page, which image, and the basis of your request. We will remove the image, and if you ask, the whole listing, without requiring you to prove ownership through a formal process. We aim to acknowledge within 2 working days and to action the removal within 5 working days.

We keep a record of removal requests and what we did about them.

6. Featured venues and ranking

Search results are ordered by relevance to the filters you apply. Filters that describe whether a space can physically accommodate your event — capacity, event type, and similar constraints — are applied strictly. A venue that cannot support your event will not be shown as if it can.

Venues featured on the homepage are selected manually by us on editorial judgement.

We do not currently sell placement, ranking, or featured position on the Site. If that changes, any paid placement will be visibly labelled as such, and paid status will never make a venue eligible for an event it cannot support, nor change how the fit filters work.

7. Enquiries you send us

If you submit an enquiry through the Site:

• You are asking us to help with your event. You are not contacting the venue, and you are not requesting or making a booking.
• You confirm the information you give us is accurate and that you are entitled to give it to us. If you provide another person's details, you confirm you may do so.
• We do not promise that any space named in your enquiry is available, suitable, or obtainable.
• We are not obliged to respond to any enquiry or to accept any work.
• No contract for services arises until we and you agree one separately in writing.

We handle personal data you submit in accordance with our Privacy Notice at spaceferret.vn/privacy.

8. Acceptable use

You may use the Site to research venues for your own event planning purposes, and you may print or save individual listings for that purpose.

You may not:

• extract, copy, scrape, crawl, or systematically download the Site's content or any substantial part of it, by automated means or otherwise, including for the purpose of building or supplementing another directory, dataset, or database;
• reproduce or republish the Site's compiled content;
• use the Site's content to train a machine learning model;
• interfere with the Site's operation, security, or availability, or attempt to gain unauthorised access to any part of it;
• use the Site for any unlawful purpose, or in a way that misrepresents your identity or your relationship with any organisation;
• remove or obscure any notice on the Site.

We may restrict or withdraw access to the Site where we reasonably believe these Terms have been breached.

9. Intellectual property

The Site's design, structure, text, compilation, taxonomy, and the selection and arrangement of the venue information are owned by us or licensed to us, and are protected under Vietnamese and international law. Individual factual details about a venue are not claimed as our property; the compiled directory is.

Venue names, logos, and marks belong to their owners and appear on the Site for identification only. Their appearance does not indicate any endorsement, affiliation, or partnership unless a listing says so.

Rights not expressly granted in these Terms are reserved.

10. Cookies, tracking, and third-party links

We do not use cookies, tracking pixels, or any advertising or analytics identifier on the Site. We do not track you across visits and we cannot recognise you if you return. The only thing the Site stores on your device is the list of venues you add to the comparison tool, which stays on your device, is never sent to us, and is removed when you clear your browser storage. Our Privacy Notice describes this at sections 3.5 and 4.

The Site contains links to third-party websites and embedded third-party services, including mapping services. We do not control them, we do not endorse them, and we are not responsible for their content, availability, or practices. Your use of a third-party service is governed by that party's own terms and privacy policy.

11. Availability of the Site

We provide the Site on an "as is" and "as available" basis. We do not guarantee that it will be available without interruption, free of error, secure, or free of harmful components. We may change, suspend, or withdraw all or part of the Site, including any listing, at any time and without notice.

12. Disclaimer

To the fullest extent permitted by Vietnamese law, we exclude all representations, warranties, and conditions relating to the Site and its content that are not expressly set out in these Terms, whether express or implied, including as to accuracy, completeness, currency, fitness for a particular purpose, and non-infringement.

We do not give advice. Information on the Site is general information about venues, not a recommendation that any venue is suitable for your event, safe, licensed, insured, or capable of delivering what you need.

13. Limitation of liability

Nothing in these Terms limits liability that cannot lawfully be limited, including liability for death or personal injury caused by our negligence, or for fraud.

Subject to that, and to the fullest extent permitted by Vietnamese law:

• we are not liable for any loss of profit, loss of business, loss of opportunity, loss of anticipated savings, wasted expenditure, or any indirect or consequential loss arising from your use of the Site or your reliance on its content;
• we are not liable for any act, omission, default, or insolvency of any venue, supplier, or third party you engage after using the Site;
• we are not liable for any loss arising from information on the Site being inaccurate, out of date, or incomplete, beyond our obligation to correct it under section 4;
• our total aggregate liability arising out of or in connection with the Site is limited to VND 10,000,000.

You accept that the Site is provided without charge to you, and that this is reflected in the allocation of risk in these Terms.

14. Indemnity

You will indemnify us against any claim, loss, or cost arising from your breach of these Terms, your unlawful use of the Site, or your infringement of any third party's rights through your use of the Site.

15. Changes to these Terms

We may change these Terms. The version in force is the one published on the Site, with its "Last updated" date. Where a change materially affects your rights, we will note the change on this page. Continuing to use the Site after a change means you accept the revised Terms.

16. Complaints

If you have a complaint about the Site, contact josselin.ferruzza@arcltd.net. We aim to acknowledge within 2 working days and to respond substantively within 5 working days. If your complaint is about how we handled your personal data and you are not satisfied with our response, you may also complain to the competent Vietnamese authority under personal data protection law.

17. General

Governing law. These Terms and any dispute arising from them are governed by the laws of Vietnam.

Disputes. Any dispute arising from these Terms that cannot be resolved through the complaints route in section 16 is subject to the exclusive jurisdiction of the competent courts of Ho Chi Minh City, Vietnam.

Severability. If any provision is found unenforceable, the rest remains in force.

No waiver. A delay in enforcing these Terms is not a waiver.

Entire agreement. These Terms and the Privacy Notice are the whole agreement between you and us about your use of the Site.

Language. These Terms are published in English and Vietnamese. The English version prevails in the event of any conflict or inconsistency between the two.

Assignment. You may not assign your rights under these Terms. We may assign ours on a transfer of the business.
