THESE TERMS OF USE MUST BE READ BEFORE USING THE SITE. THE USAGE OF ANY PART OF THE SITE INDICATES ACCEPTANCE AND COMPLIANCE OF THESE TERMS OF USE.

By accessing and/or using any part of the site www.spaceferret.vn (The “Site"), you acknowledge that you have read and understood, and agree to the Terms of Use (“Terms”) and other terms and conditions in relation to the Site as referred to in these Terms, including but not limited to the terms and conditions of privacy which constitute an integral part of this Terms. You must be at least eighteen (18) years old to use the Site. If you do not agree with all of these Terms, you may not use the Site and you must discontinue using it immediately.

These Terms of use are a binding legal agreement between you and Space Ferret (“Space Ferret”, “we”, “us”, or “our”) that govern your right to use www.spaceferret.vn as well as any other media form, media channel, mobile Site or mobile application related, linked, or otherwise connected thereto (collectively, the “Site”).
The Site offers an online platform which enables individuals and organizations (collectively, the “Users”) to offer, search for, and book services using the Site. Users who offer services are “Hosts” and Users who search for, book, or use services are “Guests”. Hosts offer event venue rental, catering, equipment rental and other services (collectively, “Venue Services”).

Content provided to us by Hosts including photos, location, venue description, capacity, dimensions, price, amenities and services are used to create a “Listing” on our Site.

By accessing or using the Space Ferret Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any other applicable laws and regulations.

If you are an individual using the Site on behalf of, or for the benefit of, any corporation, partnership or other entity with which you are associated (“Organization”), then you are agreeing to the Terms on behalf of yourself and such Organization, and you represent and warrant that you have the legal authority to bind such Organization to this Agreement.
We reserve the right to modify, suspend or discontinue all or any part of this Site at any time. We may release certain features while they are still considered to be a beta version, which may not work correctly or in the same manner as the final version may work, and will not be held liable in such instances. We may also limit or restrict your access to the parts of, or the entire Site at our sole discretion without notice or liability.
Please note that we may change, modify, add and delete these Terms at any time without any prior notice. We strongly advise you to read these Terms periodically. By continuing to use the Site after such changes to these Terms, visitor, user agree and consent to the changes. If you use any of our other services, then your usage is based on the submission to and acceptance of the terms and conditions applicable to such services.
SCOPE OF OUR SERVICES
Through the Site, Space Ferret provides an online platform where Space Ferret may connect Hosts with Guests seeking event venues (“Venues”) and facilitates the booking process. The contract to rent the Venue (“Booking”) is concluded directly between the Guest and the Host. Space ferret is not a party to that contract and as such, not responsible for any breach to said contract or any other ancillary contract between the Guest and the Host. We reserve the right to refuse the booking in accordance with these regulations below.

While we are committed to utilize our expertise skills with our prudence in providing the Services, we do not verify, and do not guarantee, that all available provided information on the Site is accurate, complete, correct or up-to-date; hence, we are not responsible for any errors (including placement and typing errors), obstruction (either because of temporary and/or partial, damage, repair or improvement to the Site or otherwise), inaccurate, misleading or false information of Vendors or non-delivery of information.

Changes in market conditions or circumstances that occur, can lead to changes in a short time causing the provided information on the Site to be inaccurate or not applicable. In case of any problems, Space Ferret’s Customer Service may contact you to assist you and clear your concerns.

The Site does not make any representations and should not be construed as making any recommendations or suggestions of the level of service quality or rating of the Vendors listed on the Site. We disclaim any complaints, losses or liabilities for the quality and status of existing listed Venues on the Site. Venues may be introduced in the form of different classes based on factors including but not limited to their reviews, ratings or any other factors. The given rating is calculated based on automated algorithms that can be updated and changed as per our discretion.
We have the right to not accept any user or booking (or in certain cases cancel the booking confirmation) at our sole discretion for any causes and without giving reasons for the rejection/refusal/cancellation. The reasons for rejecting a user or booking or canceling a booking confirmation may include but are not limited to: breach of these Terms, trade or economic sanctions by Vietnamese authorities, embargo, prohibitions in regulations, fraud or theft (or indication or suspicion of fraud or theft), suspicion of criminal activity, suspicious booking, services not being available or no longer being made available by the Vendor, user providing inaccurate, erroneous or misleading information, problems with credit card communications, information or electronic transactions, inappropriate behavior, threats, insults, refusal to provide information, practical impediments, communication difficulties or breakdowns, a Real Mistake (hereinafter described below), history of breaches of these Terms or being refused, or being placed on any “black lists” or “watch lists” by governments or international organizations. In the event of booking refusal or cancellation and payment has been made, Space Ferret shall refund the paid amount without any extra charges.
In a particular case, we may cancel or reject reservations with respect to a "Real Mistake", which does not depend on where the error originated. For the avoidance of doubt, a Real Mistake is a fault on the Site (for example, in terms of price) which no reasonable person would consider appropriate or to make business sense.
GUEST TERMS
1. Searching on the Site.
You can search for Venues by using criteria of the guest capacity and location of the Venue, and type of event you are hosting. Search results are based on their relevance to your search. Additionally, you may sort Venues according to the added date of the Venue to the Site, guest standing capacity, and rate.
HOST TERMS
2. Hosting on Space Ferret.
As a Host, Space Ferret offers you to create a Listing on our Site and manage potential Guests prior to the Booking of your Venue and other Venue Services.
3. Managing Your Listing.
3.1 Creating and Managing Your Listing.
To create a Listing on Space Ferret Platform, you must provide complete and accurate information about your Host Service. Using this information, we will create a Listing on our Site. It is your responsibility to inform us if there are any changes in your Venue or Venue Services so that we can keep your Listing information and content up-to-date and accurate at all times.
3.2 Search Results.
The ranking of Listings in search results on the Space Ferret Platform depends on a variety of factors, including these main parameters:

Guest search parameters (e.g. number of people, location, type of event)

Listing characteristics (e.g. price, capacity, length of time the Listing has been live on the Space Ferret Platform)
4. Termination, Suspension and other Measures.
4.1 Term.
The agreement between you and Space Ferret reflected by these Terms is effective when the Listing has been published on our Site and remains in effect until either you or we terminate the agreement in accordance with these Terms.
4.2 Termination.
You may terminate this agreement and remove your Listing at any time by sending us an email. Space Ferret may terminate this agreement and remove your Listing for any reason by providing you 30 days’ notice via email or using any other contact information you have provided to us. Space Ferret may also terminate this agreement and remove your Listing immediately if you breach these Terms, you violate Privacy Policy, or applicable laws, or we reasonably believe termination is necessary to protect Space Ferret.

In the event of termination, you remain bound by the obligations in these Terms, including but not limited to the warranties, indemnification, waiver and limitation of liabilities that you have agreed to.

Space Ferret shall not be liable to you or any third-party for any termination or suspension of your access to the Site.
4.3 Legal Mandates.
Space Ferret may take any action it determines to be reasonably necessary to comply with applicable law, order or a request of a court, law enforcement, or other administrative agency or governmental body, including the measures described above in Section 4.2.
GENERAL TERMS
5. Content
Parts of this Site enable you to provide text, photos, information, and other content (“Content”). By providing Content, in whatever form and through whatever means, you grant Space Ferret a permission to access, use, store, copy, modify, prepare distribute, publish, and otherwise exploit, in any manner such that Content to provide and/or promote the Site, in any media or platform, known or unknown to date and in particular on Internet and social networks. If Content includes personal information, such Content will only be used for purposes that comply with applicable data protection laws in accordance with our Privacy Policy. You are solely responsible for all Content that you provide and warrant that you either own it or are authorized to grant Space Ferret (including its affiliates) the rights described in these Terms. You are responsible and liable if any of your Content violates or infringes the intellectual property or privacy rights of any third party.
6. Site Rules.
6.1 Rules.
You must follow these rules and must not help or induce others to break or circumvent these rules.

Act with integrity. Do not lie, misrepresent something or someone, or pretend to be someone else.

Do not scrape, hack, reverse engineer, compromise or impair the Site.

Only use the Site as authorized by these Terms or another agreement with us.

Do not provide us Content unless you have permission from the Content owner.

Do not use, copy, display, mirror or frame the Site, any Content, any Space Ferret branding, or any page layout or design without our consent.

Honor your legal obligations.

Understand and follow the laws that apply to you, including privacy, data protection, and Vietnamese laws.

If you provide us with someone else’s personal information, you: (i) must do so in compliance with applicable law, (ii) must be authorized to do so, and (iii) authorize us to process that information under our Privacy Policy.

Read and follow our Terms and Privacy Policy.

Do not use the name, logo, branding, or trademarks of Space Ferret or others without permission.

Do not use or register any domain name, social media handle, trade name, trademark, branding, logo or other source identifier that is confusingly similar to Space Ferret trademarks, logos or branding.

6.2 Copyright Notifications.
If you believe that Content on the Site infringes copyrights, please report your concerns to Space Ferret.
7. Modification of these Terms.
Space Ferret may modify these Terms at any time. We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason. We will post the revised Terms on the Site and update the “Last Updated” date at the top of these Terms.

It is your responsibility to periodically review these Terms to stay informed of updates. Your continued use of the Site after the date such revised Terms are posted, will constitute acknowledgement and acceptance of the revised Terms. If you are a Host and disagree with the revised Terms, you may terminate this agreement and remove your Listing immediately by sending us an email.
8. Warranties.
To the maximum extent permitted by law, we do not warrant the performance or non-interruption of the Site. We are not responsible for outages or disruptions of the Internet and telecommunications infrastructure which are beyond our control and can lead to interruptions in the availability of the Site. Space Ferret may, without prior notice, temporarily restrict the availability of the Site or certain features thereof, if this is necessary in view of capacity limits, the security or integrity of our servers, or to carry out maintenance measures that ensure the proper or improved functioning of the Site.
9. Limitations on Liability.
To the maximum extent permitted by law, no party, including Space Ferret’s affiliates and personnel, or any other party involved in creating, producing, or delivering the Site or any Content, will be liable for any incidental, special, exemplary or consequential damages. Incidental, special, exemplary or consequential damages include, to the maximum extent permitted by law, loss of data, service interruption, computer damage or system failure.
10. Miscellaneous.
10.1 Interpreting these Terms.
Except as they may be supplemented by additional terms, conditions, policies, guidelines, standards, and in-product disclosures, these Terms constitute the entire agreement between Space Ferret and you pertaining to your access to or use of the Site and supersede any and all prior oral or written understandings or agreements between Space Ferret and you. This Section does not exclude a party’s liability for prior false, misleading or deceptive statements or misrepresentations, whether oral or written.
10.2 No Waiver.
Subject to any limitation expressly stated in these Terms, or any document policy or standard incorporated into them, neither Space Ferret’s or a User’s failure to enforce any right or provision in these Terms will constitute a waiver of such right or provision unless acknowledged and agreed between the relevant parties in writing. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise permitted under law.
10.3 Third-Party Services.
The Site may contain links to third-party Sites, applications, services or resources (“Third-Party Services”) that are subject to different terms and privacy practices. Space Ferret is not responsible or liable for any aspect of such Third-Party Services and links to such Third-Party Services are not an endorsement.
10.4 Google Terms.
Some translations on the Site are powered by Google. Google disclaims all warranties related to the translations, express or implied, including any warranties of accuracy, reliability, and any implied warranties for merchantability, fitness for a particular purpose and non-infringement. Some areas of the Site implement Google Maps/Earth mapping services, including Google Maps API(s). Your use of Google Maps/Earth is subject to the Google Maps/Google Earth Additional Terms of Service.
10.5 Site Content.
Content made available through the Site, including without limitation trademarks, trade dress, inventions, algorithms, computer programs (in source code and object code), customer and marketing information and other content (“Platform Content”), whether registered or unregistered, may be protected by copyright, trademark, patent, trade secrets, know how, and/or other laws of Vietnam and other countries. You acknowledge that all intellectual property rights for that Platform Content are the exclusive property of Space Ferret and/or its licensors and agree that you will not remove, alter or obscure any copyright, trademark, service mark or other proprietary rights notices. You may not use, copy, adapt, modify, prepare derivative works of, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast or otherwise exploit any Platform Content or as expressly permitted in these Terms. Subject to your compliance with these Terms, Space Ferret grants you a limited, non-exclusive, non-sublicensable, revocable, non-transferable license to access and view the Platform Content made available on or through the Site and accessible to you, solely for your personal and non-commercial use.
10.6 Emails and SMS.
You will receive administrative communications from us using the email address or other contact information you provide when booking or registering Venues. You may also receive promotional emails from us.
INTELLECTUAL PROPERTY RIGHTS
Space Ferret owns all Intellectual Property Rights on this Site. All information and materials, including but not limited to software, text, data, graphics, images, audio, video, trademarks, logos, icons, html code and other codes on this Site are prohibited from publishing, modifying, copying, duplicating, replicating or altering in any way beyond the scope of this Site without the express permission of Space Ferret. If you violate these rights, Space Ferret reserves the right to seek civil compensation from you for all damages or losses suffered by Space Ferret. Violations may also constitute a criminal offence.

Space Ferret and/or its affiliated companies are the owners of certain intellectual property rights (“Intellectual Property Rights”), including but not limited to domain names, the Site, trademarks, content, copyrights, service marks, logos, icons or other designs etc. Except as expressly set out in these Terms, nothing in these Terms shall be construed as granting you a licence or any rights, implied or otherwise, to use, possess, distribute or modify any of Space Ferret’s Intellectual Property Rights. Other product and company names contained on the Site, including names, trademarks, marks, service marks, logos, symbols or other designs may be owned or licensed for use by third parties. Use of third-party Intellectual Property Rights on the Site is not considered a recommendation or sponsorship for the Site by third parties. Space Ferret owns copyright to the Site, and you must not use, possess, distribute or modify any of the Intellectual Property Rights owned by Space Ferret and its affiliated companies without express approval from Space Ferret.
The Site contains Space Ferret's Intellectual Property, including but not limited to text, software, photos, graphics, video, music and sound. The whole of the Content is protected by copyright laws. We and our licensors own the copyright and/or other rights over the selection, coordination, arrangement, and repair of the Content and the original content. You must not modify, reproduce, copy, perform, display, publish, or exploit the Content, in whole or in part, unless you have express written consent from Space Ferret.

Unless otherwise stated, software necessary to provide the services, software available for use on this Site, and the Intellectual Property Rights in the Content on the Site is owned by Space Ferret, its subsidiary or affiliate, licensors, suppliers and/or content providers of Space Ferret. Space Ferret will not be responsible for intellectual property rights owned by third parties or for infringement of intellectual property rights owned by third parties.
You can use the information on the Site only for personal, non-commercial use. Unless specified otherwise, and expressly permitted by the copyright laws, you may not copy, reproduce, redistribute, retransmit, publish or otherwise commercially exploit any downloads you make from the Site without the permission of the owner of the Intellectual Property Rights. Even if you obtain the necessary permission, you must not make changes or deletions. You hereby accept and agree that downloading any Content does not grant you any Intellectual Property Rights in that Content.
We may provide links to other Sites maintained by other parties. By clicking on the link, you hereby represent, acknowledge and agree that such action is your own consent to view or access such other Sites for which Space Ferret does not have control or responsibility.

Space Ferret in making the Site, preparing the source code and performing software support, can license the use of open source software from third parties through the GNU General Public License (“GPL”), Any use by Space Ferret of open source software and the Intellectual Property Rights of a third party are with the necessary licenses or permits.
CLAIMS OF INTELLECTUAL PROPERTY RIGHTS INFRINGEMENT
If there is evidence of violations of your Intellectual Property Rights, you or your representative (collectively, the "Sender") may send a notice containing the following details listed below:

Name and address of the Sender;

In case the Sender is not the owner of the Intellectual Property Rights or license exclusive then it must include the name and address of the owner of the Intellectual Property Rights;

Sender’s telephone number, facsimile (if any) and electronic mail address;

Sufficient details so as to prove the existence of intellectual property rights violations, including online addresses of electronic copies;

Sender’s request to remove or disable access to the infringing electronic copy or version;

A statement that the Sender in good faith recognizes the violations as identified in paragraph (4) of this Clause;

A statement that the information provided in the notice is accurate;

A statement that the Sender (a) is the owner or exclusive holder of the intellectual property rights that are being violated; or (b) has the legal authority to act on the owner or exclusive holder's behalf.

We will review and handle notifications in accordance with the above requirements and in accordance with the laws of Vietnam.

​You shall not hold Space Ferret responsible for losses or damages that may occur as a result of fraud, forgery or unproven allegations of intellectual property rights infringement.
If there is evidence of violations of your Intellectual Property Rights, you or your representative (collectively, the "Sender") may send a notice containing the following details listed below:

In case the Sender is not the owner of the Intellectual Property Rights or license exclusive then it must include the name and address of the owner of the Intellectual Property Rights;

Sender’s telephone number, facsimile (if any) and electronic mail address;

Sufficient details so as to prove the existence of intellectual property rights violations, including online addresses of electronic copies;

Sender’s request to remove or disable access to the infringing electronic copy or version;

A statement that the Sender in good faith recognizes the violations as identified in paragraph (4) of this Clause;

A statement that the information provided in the notice is accurate;

A statement that the Sender (a) is the owner or exclusive holder of the intellectual property rights that are being violated; or (b) has the legal authority to act on the owner or exclusive holder's behalf.

We will review and handle notifications in accordance with the above requirements and in accordance with the laws of Vietnam.

​You shall not hold Space Ferret responsible for losses or damages that may occur as a result of fraud, forgery or unproven allegations of intellectual property rights infringement.
DISCLAIMER
YOU HEREBY DECLARE TO AND AGREE THAT, TO THE EXTENT PERMITTED BY APPLICABLE LAW:

THE SERVICES AND THE CONTENT OF THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE HEREBY EXPRESSLY STATE THAT WE DO NOT MAKE ANY KIND OF GUARANTEE OR WARRANTY, WHETHER EXPRESS OR IMPLIED, INCLUDING WITH RESPECT TO THE MERCHANTABILITY OF A PRODUCT OR SERVICE, OR SUITABILITY OF THE SERVICES WE PROVIDE FOR A PARTICULAR PURPOSE AND AGAINST NON-INFRINGEMENT WHERE APPLICABLE;

WE DO NOT GUARANTEE THAT: (i) THE FUNCTIONS, SERVICES AND SECURITY FEATURES PROVIDED IN THE SITE WILL BE UNINTERRUPTED OR FREE FROM ERROR; (ii) ERRORS OR FAILURE WILL BE REPAIRED; OR (iii) THE SITE OR THE SERVER PROVIDE SERVICES THAT ARE FREE FROM VIRUSES, MALWARE OR HARMFUL COMPONENTS;

WE DO NOT WARRANT THE ACCURACY, AUTHENTICITY, INTEGRITY OR QUALITY OF THE CONTENT, SITES OR RESOURCES AVAILABLE TO AND FROM THE SITE INCLUDING, BUT NOT LIMITED TO, ANY GUARANTEE THAT THE CONTENT, SITES OR RESOURCES ARE FREE FROM SOURCE MATERIAL THAT IS MALICIOUS, INDECENT, OR CONTROVERSIAL;

ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICES IS AT YOUR SOLE RESPONSIBILITY AND RISK. YOU VOLUNTARILY ASSUME SUCH RISK, AND YOU WILL BE FULLY RESPONSIBLE FOR ANY LOSS OR DAMAGE ARISING OUT OF OR IN RELATION TO SUCH MATERIAL, INCLUDING ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM DOWNLOADING ANY MATERIALS THAT ARE PROVIDED.
LIMITATION OF LIABILITY
WITHOUT PREJUDICE TO WHAT IS SET OUT IN THESE TERMS, THE RESPONSIBILITIES OF ANY PARTY ARE LIMITED AND WAIVED TO THE EXTEND PERMITTED BY LAW, SUCH AS PERSONAL INJURY OR DEATH. WE SHALL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES, WHETHER DIRECT OR INDIRECT, RESULTING FROM OR CONNECTED TO YOUR USE OF THE SITE OR USE OF THE LINKS ON THE SITE, INCLUDING BUT NOT LIMITED TO SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES OR OTHER ECONOMIC LOSS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF LOSS OR DAMAGE THAT MAY OCCUR. THE ONLY REMEDY YOU HAVE IS TO DECIDE TO STOP USING THIS SITE.
INDEMNIFICATION
You hereby agree to indemnify and hold harmless Space Ferret and its employees, affiliates, staff and partners, from and against any and all claims, demands, liability, damage or loss including legal fees, which arise as a result of claims of third parties in connection with: (a) your use of the Site; (b) Content that is given, provided or accessed through this Site; (c) your violation of the Terms; (d) your violation of any other rights or obligations; and/or (e) any act or omission by you, whether negligent, unlawful or otherwise.
THIRD PARTY LINKS AND CONTENTS
The Site may contain links to Sites operated by parties other than Space Ferret. We do not control those sites or links and are not responsible for the content or privacy or other activities of such sites. We, or other third parties, may upload automated search results or provide links to other sites. We provide the opportunity for third parties to distribute, post, transmit or otherwise make available any information, data, text, images, sound, graphics, video, messages, reviews, or other materials (“Content”) through this Site. We do not review and/or do not control the Site, source, and Content. You agree that we are not responsible for the contents or availability of such Sites and resources, and that we do not endorse or recommend and are not responsible for the origin of such Sites or Content. You hereby agree to indemnify us from and from any and all liability, charges, loss or damage directly or indirectly caused or alleged to be caused by or in connection with use of or in connection with such Content, Site or resource.
GOVERNING LAW
These Terms shall be governed by and interpreted in accordance with the Laws of Vietnam.
DISPUTES RESOLUTION
In the event of a dispute arising out of or in connection with these Terms, both parties shall first discuss in good faith to reach an amicable resolution within sixty (60) days from the date of the notice of dispute. However, if such dispute may not be settled by mutual consultation within sixty (60) days, it shall be referred to a competent dispute resolution authority of Vietnam for settlement.
